These Terms of Service ("Terms") constitute a legally binding contract between you (whether personally or on behalf of an entity, "User" or "You") and Giants' Logic Technology ("GLTtrade", "we", "us", or "our"), governing your access to and use of our website (https://glttrade.in), our MetaTrader 4 (MT4) and MetaTrader 5 (MT5) indicators, software tools, algorithms, and digital license keys.

By accessing our website, creating an account, activating a trial, or completing a software purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Strict No-Refund Policy.

2. Regulatory Status: Commercial Software Developer (Not a Financial Advisor)

Specifically, GLTtrade:

• Is NOT registered with the Securities and Exchange Board of India (SEBI) as an Investment Adviser (IA), Research Analyst (RA), or Portfolio Manager (PMS).
• Is NOT registered with the US SEC, CFTC, NFA, UK Financial Conduct Authority (FCA), Australian ASIC, European ESMA, or any financial supervisory authority worldwide.
• Does NOT execute trades on your behalf, hold investor funds, solicit deposits, or offer discretionary account management.

Our software indicators, algorithmic scripts, visual overlays, charts, and technical documentation are provided strictly for educational, technical analysis, and self-directed charting assistance. Nothing on this website or in our communications constitutes financial, investment, legal, tax, or trading advice.

3. Absolute No-Guarantee Clause & High-Risk Market Disclaimer

GLTtrade expressly disclaims any representation, warranty, or guarantee that using our software will result in profitable trading, capital growth, or avoidance of trading losses. You acknowledge and agree that you bear sole, exclusive, and total responsibility for all trading orders, executions, risk management, and financial outcomes in your brokerage accounts.

4. Software Licensing & Intellectual Property Protection

All software binaries (`.ex4`, `.ex5`), algorithmic indicators, math models, design assets, and source codes are the proprietary intellectual property of Giants' Logic Technology, protected under Indian and international copyright, trade secret, and intellectual property treaties.

• Scope of License: Upon valid order capture, GLTtrade grants you a revocable, non-exclusive, non-transferable, non-sublicensable personal license to use the indicator exclusively on designated MetaTrader terminals bound to your registered MT4/MT5 account numbers.
• Strict Restrictions: You shall NOT decompile, disassemble, reverse-engineer, modify, decrypt, leak, redistribute, rent, lease, or resell the software or licensing authentication mechanisms.
• Safeguards & Piracy Defense: Circumventing license checks, running unauthorized memory debuggers, or sharing license keys will trigger immediate automated revocation without warning and without refund.

5. Official 7-Day Free Evaluation Trial Policy

6. Strict No-Refund Policy & Immediate Performance Waiver

International Waiver of Statutory Cooling-Off Rights: For customers residing in the European Union, United Kingdom, and jurisdictions with statutory cooling-off regulations: by completing your purchase, you expressly request immediate performance of digital content delivery and explicitly acknowledge that you waive any statutory 14-day right of withdrawal / cancellation once license key generation has begun.

7. International Payments, Currencies & Taxes

We accept domestic and international payments processed securely through authorized gateway partners (including Razorpay Software Private Limited):

• Supported Payment Methods: Major international credit and debit cards (Visa, MasterCard, American Express, Diners Club), UPI, Net Banking, and approved wallet methods.
• Currency Conversion: While prices are listed in Indian Rupees (INR) or foreign currency equivalents, cross-border payments may be converted by your card issuer. You are solely responsible for all exchange rate conversions, foreign transaction fees, or international card surcharges applied by your issuing bank.
• Local Taxes & Duties: You are responsible for all applicable local value-added taxes (VAT), goods and services taxes (GST), or import levies imposed by your country of residence.

8. Export Controls & Sanctions Compliance

You represent and warrant that you are not located in, resident of, or operating on behalf of any entity located in any jurisdiction subject to comprehensive trade embargoes or sanctions administered by the United Nations, the United States Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, or the Directorate General of Foreign Trade (DGFT) of India. You may not access or use our software if you are on any denied party or specially designated nationals list.

9. Prohibition of Fraudulent Chargebacks & Dispute Abuse

You agree not to initiate unwarranted, fraudulent, or retaliatory chargebacks or payment disputes with your card issuer or bank. In the event of an unauthorized chargeback:

• Your license will be immediately terminated, and your MT4 account number blacklisted.
• We reserve the right to recover all dispute administrative fees, merchant processing penalties, and legal collection costs.
• All transaction logs, verification OTPs, IP access histories, and cryptographic handshakes will be presented to payment networks as proof of fulfillment.

10. Limitation of Liability & Warranty Disclaimer

To the maximum extent permitted under applicable law, our software and website are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

In no event shall Giants' Logic Technology, its proprietors, developers, or affiliates be liable for any indirect, special, incidental, punitive, or consequential damages (including trading losses, loss of capital, missed trades, broker downtime, terminal slippage, or data loss). Our maximum aggregate cumulative liability for any claim arising out of these Terms shall not exceed the actual amount paid by you for the specific software license in the preceding twelve (12) months.

11. Governing Law & Exclusive Jurisdiction

These Terms, all transactions, and any dispute or controversy arising out of or related to our website or software shall be governed by, interpreted, and construed strictly in accordance with the laws of the Republic of India, without regard to its principles of conflicts of law or the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Both domestic and international users irrevocably and unconditionally submit to the exclusive territorial jurisdiction of the competent civil courts situated in Chennai, Tamil Nadu, India to resolve any legal proceeding or dispute. Both parties explicitly waive any objection to the venue or convenience of such courts.
